These Terms of Use (“Terms”) govern your access to and use of the Kyoji Health website at kyojihealth.com (the “Site”), operated by Kyoji Health (“Kyoji”, “we”, “us”, or “our”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Who we are; what this Site is for

Kyoji Health is a specialist content studio for direct-to-consumer health and wellness brands. The Site markets our services (including UGC production, AI-powered creative, and conversion strategy) and routes you to scheduling and contact tools operated by us or our vendors. Creator-facing programs are described on ugc.kyojihealth.com, which has its own legal pages.

2. Eligibility

  • You are old enough to enter a binding agreement where you live.
  • Information you submit through the Site is accurate and not misleading.
  • You are not located in, under the control of, or a national or resident of any country or region subject to comprehensive EU, UN, US, or other applicable sanctions, and you are not on any applicable restricted-party list.

3. Acceptable use

  • You may use this Site only for lawful purposes.
  • You agree not to interfere with the Site's security, functionality, or availability.
  • You may not copy or reuse Site content beyond fair and lawful use without our written permission.
  • You may not use the Site to submit unlawful, abusive, harassing, deceptive, or infringing content, or to make health or product claims that violate applicable advertising or consumer-protection rules.
  • You may not use any automated means—including bots, crawlers, or AI agents—to access, copy, or extract Site content beyond what is permitted by our robots.txt and applicable law, or to train a machine learning model on Site content without our express written consent.

4. No client relationship

Accessing this Site or sending us a message through a Site form does not create a client, advisor, fiduciary, agency, partnership, joint venture, or employment relationship. A formal services relationship exists only after a signed written agreement (a statement of work or master services agreement).

5. Intellectual property

All content on this Site, including text, design, graphics, logos, and media, is owned by Kyoji Health or its licensors and is protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to access the Site for personal, non-commercial browsing. All rights not expressly granted are reserved. Trademarks displayed on the Site belong to their respective owners.

Feedback. If you send us suggestions, ideas, or other feedback about the Site or our services, you grant Kyoji a perpetual, irrevocable, royalty-free, worldwide license to use that feedback without restriction or obligation to you.

6. No professional or medical advice; AI and automation

Disclaimer: This Site does not provide medical advice, diagnosis, or treatment. Content on this Site is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Content on this Site is also for general informational and marketing purposes. It does not constitute legal, regulatory, financial, or other professional advice for your specific situation and should not be relied on as such.

Where our website, tools, or workflows use automated systems, artificial intelligence (AI), or machine-assisted drafting, summarization, or compilation, we strive for accuracy; however, such outputs may contain errors or inaccuracies. 7. Creator marketplace; client approval; creator content

Marketplace. Kyoji Health may operate a marketplace that connects brands and independent creators (including Kyoji Creators). Kyoji does not own content that creators produce for clients unless a written agreement says otherwise.

Final approval. The client (brand, advertiser, or its authorized representatives) retains final approval over whether creative work is accepted, published, paid for, or used in campaigns. Kyoji may provide review, feedback, or workflow support, but that does not replace the client's own legal, medical, and compliance sign-off.

To the maximum extent permitted by law, Kyoji Health is not responsible for content created by independent creators, including claims in deliverables or how clients use them. Nothing on this Site makes Kyoji the publisher or guarantor of creator-generated content. See our Disclaimers for additional context.

8. Third-party services and links

This Site may link to or embed third-party services (such as scheduling, analytics, or form platforms). We are not responsible for third-party content, terms, or privacy practices.

9. Disclaimers; limitation of liability

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KYOJI HEALTH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED EUROS (EUR €100) OR (B) THE AMOUNTS YOU PAID US (IF ANY) FOR ACCESS TO THE SITE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Indemnification

You will defend, indemnify, and hold harmless Kyoji Health and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to (a) your misuse of the Site, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any content you submit or transmit through or in connection with the Site. Kyoji may assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with our defense.

11. Changes to Terms

We may update these Terms at any time. We will post the updated Terms on this page and change the effective date. Continued use of the Site after updates constitutes acceptance of the revised Terms. If we make material changes and we have your email, we may notify you.

12. Governing law and disputes

Kyoji Health is established in Portugal. These Terms are governed by the laws of Portugal, without regard to conflict-of-law principles. Subject to Section 13, the courts of Lisbon, Portugal have exclusive jurisdiction over disputes arising from these Terms or the Site, and you consent to personal jurisdiction in those courts. If you are a consumer resident in the European Union, Article 6(2) of the Rome I Regulation and any other non-waivable consumer protections of your country of habitual residence will continue to apply to you, and you may also have the right to bring claims in the courts of that country. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Informal resolution; class-action waiver

Before filing a claim, you agree to try to resolve the dispute by contacting us at isauraconsulting@gmail.com and giving us at least 30 days to respond. To the maximum extent permitted by law, you and Kyoji agree that any dispute will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative action. If a court or arbitrator decides this class-action waiver is unenforceable in your case, the balance of these Terms remains in effect. Nothing in this section limits non-waivable rights you have under local law (including, where applicable, the right to bring claims in your home courts as an EEA/UK consumer).

14. Severability; waiver; survival

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable. Failure to enforce any provision is not a waiver of that provision or any other right. Sections that by their nature should survive termination—including Intellectual property, Disclaimers, Limitation of liability, Indemnification, Governing law and disputes, Informal resolution, and this Section—survive termination of these Terms or your access to the Site.

15. Force majeure

Kyoji is not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, public-health emergencies, labor disputes, government actions, internet or telecommunications failures, or third-party service outages.

16. Assignment; no third-party beneficiaries

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent; any attempted assignment in violation of this section is void. Kyoji may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. These Terms do not create third-party beneficiary rights.

17. Notices; entire agreement

We may give notices to you by posting on the Site or by email to any address you have provided. You may give notice to Kyoji at isauraconsulting@gmail.com. These Terms, together with the Privacy Policy, Cookie Policy, Disclaimers, and Data deletion pages, constitute the entire agreement between you and Kyoji regarding the Site and supersede any prior agreements.
